Terms of Service

Welcome to adaptive thinking inc. (“Adaptive Thinking,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our software, platforms, application programming interfaces (APIs), software development kits (SDKs), tools, documentation, and any other products or services provided by Adaptive Thinking (collectively, the “Services”).

By accessing or using our Services, you, or the organization you represent (“You”), agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Our Services

Adaptive Thinking provides a suite of tools and platforms designed to facilitate the development, orchestration, and management of artificial intelligence systems and applications. The Services are designed for professional and enterprise use. You are responsible for ensuring that your use of the Services is in compliance with all applicable laws, regulations, and your own organizational policies.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. If you are using the Services on behalf of an organization, such as a company or other legal entity, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep this information updated. You are solely responsible for all activities that occur under your account and for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to misuse the Services or help anyone else to do so. You agree not to:

  • Use the Services for any unlawful, harmful, fraudulent, or abusive purpose.
  • Probe, scan, or test the vulnerability of any system or network.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of our Services, except to the extent that this restriction is expressly prohibited by applicable law.
  • Interfere with or disrupt the integrity, security, or performance of the Services or the data contained therein.
  • Use the Services to develop or support a product or service that is competitive with Adaptive Thinking’s Services without our prior written consent.
  • Transmit any viruses, malware, or other malicious code.

5. Intellectual Property

  • Our IP: All rights, title, and interest in and to the Services, including all related software, technology, documentation, and intellectual property rights, are and will remain the exclusive property of Adaptive Thinking Inc. and its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your internal business purposes.
  • Feedback: If you provide us with any suggestions, feedback, or ideas for improvements to the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, reproduce, modify, and incorporate such feedback into our Services without any obligation or compensation to you.

6. Your Content

You retain all ownership rights to the data, code, information, and other materials you submit to or process through the Services (“Your Content”). You grant Adaptive Thinking a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and transmit Your Content solely for the purposes of providing, maintaining, and improving the Services for you. You are solely responsible for the accuracy, legality, and appropriateness of Your Content.

7. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied. Adaptive Thinking Inc. disclaims all warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall Adaptive Thinking Inc., its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your access to or use of, or inability to access or use, the Services.

In no event shall the aggregate liability of Adaptive Thinking Inc. exceed the greater of one hundred U.S. dollars ($100) or the amount you paid Adaptive Thinking, if any, in the past twelve (12) months for the Services giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Adaptive Thinking Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at our discretion, without notice, if you violate these Terms or use the Services in a manner that we believe could cause us liability or disrupt others' use of the Services. You may terminate your account and these Terms at any time by ceasing use of the Services and notifying us. Upon termination, your license to use the Services will immediately cease, and we may delete Your Content in accordance with our data retention policies.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in San Francisco, California, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS").

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes that are material, we will provide you with reasonable notice (e.g., by email or by posting a notice on our website). Your continued use of the Services after such changes become effective constitutes your acceptance of the new Terms.

13. General Provisions

These Terms constitute the entire agreement between you and Adaptive Thinking Inc. regarding the Services and supersede all prior agreements. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
